3. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
4. Account Registration
4.1 Account Creation
To use the Service, you must create an account by providing accurate and complete information, including your name and email address. You are responsible for maintaining the confidentiality of your account credentials.
4.2 Account Security
You are responsible for all activities that occur under your account. You must immediately notify us at ed@shiploud.so of any unauthorized use of your account or any other security breach.
4.3 Account Accuracy
You agree to keep your account information current, accurate, and complete. Failure to do so may result in suspension or termination of your account.
5. Subscription Plans and Billing
5.1 Subscription Tiers
ShipLoud offers multiple subscription plans with varying features and usage limits:
- Free Plan - Limited features for trying the Service
- Paid Plans - Various tiers with enhanced features, higher usage limits, and additional capabilities
5.2 Payment Terms
- • Subscription fees are charged in advance on a monthly or annual basis
- • All fees are in USD and exclude applicable taxes
- • Payment is processed securely through our third-party payment processor
- • You authorize us to charge your payment method for all fees incurred
5.3 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your subscription plan.
5.4 Price Changes
We reserve the right to change subscription prices at any time. Price changes will be communicated to you via email at least 30 days before they take effect. Your continued use of the Service after the price change constitutes acceptance of the new pricing.
5.5 Refunds
All fees are non-refundable except as required by law or as expressly stated in these Terms. We do not provide refunds or credits for partial months of service, unused features, or periods when your account is inactive.
5.6 Free Trials
If we offer a free trial, your free trial period begins when you sign up and ends according to the trial terms. Unless you cancel before the trial ends, you will automatically be charged for a paid subscription.
5.7 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at ed@shiploud.so. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the paid period.
6. Usage Limits and Restrictions

Your use of GitHub through our Service is subject to GitHub's Terms of Service. You are responsible for compliance with GitHub's terms.
7.3 Data Access
We only access the minimum data necessary to provide the Service. You can disconnect your GitHub repositories at any time through your account settings.
7.4 Third-Party Service
GitHub is a third-party service. We are not responsible for any changes, interruptions, or issues with GitHub's service that may affect our Service.
8. Content and Intellectual Property

You retain all rights to your original content, including your commit messages, build logs, and manually created content. By using the Service, you grant us a limited license to use, store, and process your content solely to provide the Service.
8.2 AI-Generated Content
Content generated by our AI tools based on your development activity is provided to you for your use. You are responsible for reviewing, editing, and ensuring the appropriateness of all AI-generated content before publishing it.

The Service, including its design, code, features, and functionality, is owned by ShipLoud and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without compensation or obligation to you.
8.5 Content Responsibility
You are solely responsible for:

- • Any conduct or content of any third party on the Service
- • Any content obtained from the Service
- • Unauthorized access, use, or alteration of your transmissions or content
12.2 Maximum Liability
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
12.3 Exceptions

14. Termination

If we cannot resolve the dispute informally, any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of a mutually agreed arbitration service, except as provided below.
15.4 Small Claims Court
Either party may bring an individual action in small claims court if the claim qualifies.
15.5 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

These Terms are written in English. Translated versions are for convenience; English version prevails.
23. Force Majeure
We shall not be liable for failures due to circumstances beyond our reasonable control.

You agree to comply with all applicable export and import laws and regulations.
